Introduction to Business and Corporate Law
Brief description
- Particularities of company's affairs in comparison with civil law; Interaction of the Austrian general civil law (ABGB), Consumer Protection Act (KSchG) and Austrian Commercial Code (UGB); types of entrepreneurs; scope of application and section overview of the Austrian Commercial Law (UGB); - company, company register, power of procuration; authority to act ; commercial agent; commercial brokers; business-related transactions;- characteristics of the management, representation and liabilities in business partnerships, particularly non-trading partnerships (Gesellschaft bürgerlichen Rechts), general partnerships (OG) and limited partnership (KG); - characteristics of the management, representation and liabilities in limited companies, particularly limited liability company (GmbH) and public limited company (AG); - Optional: overview over civil proceedings and insolvency proceedings; - Optional: basic principles of the Austrian Protection of Intellectual Property, anti-trust law and copyright

Learning outcome
After having successfully completed the course, students will be able to thoroughly assess company law issues which occur in daily business life (e.g. investment refunds, permissibility of selling company's shares) and to efficiently discuss such topics with legal advisers.
